ZoomQuant Academic License Agreement

IMPORTANT!

PLEASE CAREFULLY READ THE ZOOMQUANT ACADEMIC LICENSE AGREEMENT ("LICENSE") BEFORE DOWNLOADING ZOOMQUANT. BY DOWNLOADING THE ZOOMQUANT SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THE ZOOMQUANT SOFTWARE LICENSE, YOU ARE NOT AUTHORIZED TO DOWNLOAD THE ZOOMQUANT SOFTWARE.

ZOOMQUANT ACADEMIC SOFTWARE LICENSE

1. GENERAL: This Agreement is made between the Medical College of Wisconsin Research 
Foundation (hereinafter "LICENSOR"), a wholly-owned subsidiary of the Medical College 
of Wisconsin (hereinafter "MCW"), with offices at 
8701 Watertown Plank Road, 
Milwaukee, Wisconsin 53226, and the LICENSE.
Whereas the LICENSOR owns and has copyrighted certain computer software and associated 
documentation known as "ZoomQuant". The LICENSEE desires to secure a non-exclusive 
license to ZoomQuant and LICENSOR is willing to grant such a license. The parties 
hereby agree as follows:

2. LICENSE: LICENSOR hereby grants, and LICENSEE accepts, a single nontransferable and 
non-exclusive license to use ZoomQuant. ZoomQuant is licensed for use solely for 
Licensees internal data processing applications, including the provision of data 
processing service to others in the normal course of LICENSEE'S business.
No rights are granted to sublicense or market ZoomQuant. All rights not specifically 
granted to LICENSEE by this license shall remain with LICENSOR.

3. USE: ZoomQuant may be used by LICENSEE only on a single CPU. LICENSEE is not 
authorized to use ZoomQuant on a network. LICENSEE may make one copy of ZoomQuant 
for backup, archiving, or security, but all copyright or proprietary notices in the 
original must be included in such copy. LICENSEE shall not clone, reverse engineer, 
or reverse compile any part of ZoomQuant or adopt any part of ZoomQuant as its own.

4. TRANSFER TO THIRD PARTIES: LICENSEE acknowledges that the Software and 
Documentation that comprise ZoomQuant are proprietary products of LICENSOR and shall 
remain the property of LICENSOR. LICENSEE will not disclose to or otherwise make 
available copies of ZoomQuant to any third party. Third party requests for a license 
to ZoomQuant received by LICENSEE shall be referred to LICENSOR.

5. CHARGES: LICENSOR will charge LICENSEE no fee for the non-exclusive license granted herein.

6. DISCLAIMER OF WARRANTIES: ZoomQuant is provided to LICENSEE on an "as is" basis 
without warrantee of any kind either express or implied. LICENSOR does not warrant 
as to whether the functions contained in ZoomQuant will meet LICENSEE'S or any end 
user's specific requirements or that the operation of ZoomQuant will be uninterrupted 
or error free, or that program defects, if any, can or will be corrected. LICENSOR 
makes no warranties, express or implied, as to the merchantability and fitness for 
a particular purpose or as to whether ZoomQuant or use thereof infringes any 
trademark, patent, copyright, or similar rights of any third party.

LIMITATION OF LIABILITY: LICENSOR shall not be liable for any indirect, incidental 
or consequential damages such as, but not limited to, loss of anticipated profit, 
savings or benefits. LICENSOR shall have no liability for any claim of any kind 
arising in connection with any use or other employment of ZoomQuant.

TERMINATION: This License Agreement can be terminated by LICENSOR or LICENSEE on 
thirty (30) days notice for any reason. If this Agreement is terminated, the 
license granted hereunder shall be terminated, LICENSEE'S right to use ZoomQuant 
shall end immediately, and LICENSEE shall return or destroy all copies of software 
and documentation which is ZoomQuant.

NOTICES: 
All notices, consents, and other communications related to this License Agreement 
shall be sent to the parties at their respective addresses as set forth below.
